Welcome to Webguru.pk (“Webguru.pk,” “we,” “us,” or “our”).
These Terms & Conditions (“Terms”) govern your use of our website, products, services, and any engagement with Webguru.pk — including digital services, software development, design, consultation, and developer hiring/staff augmentation solutions.

By accessing or using our website or services, you agree to be bound by these Terms.
If you do not agree, please discontinue use immediately.

1. Definitions

  • “Client” refers to any individual or business using Webguru.pk services.
  • “Services” refers to all digital, development, design, staffing, consulting, and marketing services provided by Webguru.pk.
  • “Deliverables” refers to project outputs such as code, designs, documentation, reports, and digital assets.
  • “Scope of Work (SOW)” refers to the documented agreement detailing deliverables, timelines, responsibilities, and pricing.
  • “Developer/Talent” refers to engineers, designers, specialists, or contractors provided by Webguru.pk for staff augmentation or hiring services.
  • “Agreement” refers to these Terms plus any SOW, contract, invoice, or written approval exchanged between the parties.

2. Eligibility

To access Webguru.pk Services, you confirm that:

  • You are at least 18 years old.
  • You can legally enter a binding contract.
  • You are not restricted by any applicable laws.

3.Use of the Website

You agree not to:

  • Attempt to breach site security or disrupt service.
  • Copy, replicate, or distribute website content without permission.
  • Engage in harmful, fraudulent, or illegal activities.
  • Collect user data without explicit consent.

We may restrict access for any misuse.

4.Service Engagement & Payments

a. Service Confirmation
A project begins only after:
  • A written agreement or approval
  • A clear Scope of Work
  • Initial deposit or full payment (as required)
b. Payment Terms
Unless otherwise agreed:
  • All payments are non-refundable after work begins.
  • Delayed or missing payments may pause or terminate the project.
  • Additional features outside the agreed scope will incur extra charges.
  • Milestone-based work requires timely approvals from the client.
c. Pricing Adjustments
If the scope changes or third-party requirements increase costs, the client agrees to pay updated fees.
d. Taxes
Clients are responsible for any applicable taxes, fees, or charges based on their region.

5.Client Responsibilities

The client agrees to:

  • Provide accurate and timely information.
  • Provide access to hosting, admin panels, tools, or platforms as needed.
  • Approve deliverables within reasonable time.
  • Provide content (text, images, videos) unless otherwise contracted.
  • Purchase third-party software, plugins, themes, or licenses when required.
  • Ensure that provided content complies with copyright laws.

Project delays caused by the client automatically extend the timeline.

6. HelloDevs Rights & Responsibilities

We reserve the right to:

  • Subcontract work to qualified internal or external experts.
  • Refuse or terminate work involving unethical, illegal, or harmful activities.
  • Use completed, non-NDA projects in our portfolio or marketing materials.

We commit to:

  • Delivering high-quality services as outlined in the SOW.
  • Maintaining confidentiality and secure handling of client information.

Following industry-standard development, design, and code practices.

7. Staff Augmentation & Developer Hiring Terms

When hiring talent through Webguru.pk:

a. Engagement Model
Developers remain employees or contractors of Webguru.pk unless a separate buyout agreement is executed.

b. Replacement Guarantee
If a developer is not performing, Webguru.pk may provide a replacement (depending on the contract).

c. Non-Solicitation Clause (Important)
The client agrees not to directly hire, solicit, or attempt to hire any Webguru.pk employee, developer, or contractor during the engagement and for 12 months after termination.

d. Client Responsibilities
The client must:

  • Provide a safe, lawful working environment.
  • Provide required tools, systems, and accounts.
  • Maintain confidentiality of developer access credentials.

e. Payment
Late payments may result in removal of talent from the project until dues are cleared.

8. Intellectual Property Rights

a. Ownership
Upon full payment:

  • The client receives rights to use the final deliverables.
  • Webguru.pk retains ownership of internal tools, libraries, code patterns, and reusable assets.

b. Portfolio Usage
Unless restricted by NDA, Webguru.pk may showcase deliverables in:

  • Portfolio
  • Case studies
  • Social media
  • Sales presentations

c. Third-Party Assets
Licenses for paid plugins, APIs, or software remain governed by their original owners.

9. Revisions, Approvals & Support

a. Revisions
Only revisions included in the SOW are free. Additional revisions are chargeable.

b. Approval Delays
If the client does not respond within 7–14 days, the work may be auto-approved to maintain workflow.

c. Support & Maintenance
Post-project support is limited based on the plan purchased. Additional support is chargeable.

10. Confidentiality

Both parties agree to keep all shared information secure and confidential.

Exceptions apply when:

  • Required by law
  • Necessary to protect rights
  • Permission is granted in writing

11. Limitation of Liability

Webguru.pk is not liable for:

  • Loss of revenue, profits, data, or opportunities
  • SEO ranking changes or marketing fluctuations
  • Third-party system failures (APIs, hosting, Shopify, WordPress, etc.)
  • Security issues arising from client-side negligence
  • Content provided by the client
  • Delays caused by external or client-related factors

Webguru.pk’s liability, if applicable, is limited to the total amount paid for the specific service.

12. Dispute Resolution

In case of a disagreement, the following steps apply:

  1. Mutual discussion
  2. Formal written mediation between parties
  3. If unresolved, legal resolution under governing law

13. Governing Law

These Terms are governed by:

  • The laws of Pakistan (for operations)
  • International contracting norms (for global clients)

Any legal proceedings shall be conducted in competent courts within our operational jurisdiction.

14. Force Majeure

Webguru.pk is not responsible for delays or failures caused by events beyond our control, including:

  • Natural disasters
  • Internet outages
  • Government restrictions
  • Wars or political instability
  • Global pandemics
  • Third-party service interruptions

These circumstances automatically extend timelines.

15. Termination

Webguru.pk may terminate services if:

  • Payments are delayed
  • Client violates these Terms
  • Client engages in abusive, unethical, or illegal behavior

Clients may terminate services anytime, but payments already made are non-refundable.

16. Third-Party Links

Our website may contain external links.
We are not responsible for:

  • Their content
  • Their security
  • Their privacy practices

Use at your own risk.

17. Changes to These Terms

We may update these Terms periodically.
Continued use of the website signifies acceptance of updated Terms.
